Job Description
* Draft and negotiate a wide range of contracts (confidentiality agreements, letters of intent; MoU, power purchase agreements, EPC contracts, O&M agreements; land rights agreements, partnership agreements; shareholders agreements, share purchase agreements, finance agreements, etc.);
* Advise and prepare the legal documentation required for submissions to RfPs for renewable projects and monitoring the legal aspects of such projects' development (creation or participation in joint ventures, implementation of the agreements, etc.);
* Conduct legal studies and provide legal memorandum and contribute to the legal reporting of TSDG;
* Assess and monitor regulatory (incl. new regulations) and contractual risks, propose innovative solutions to mitigate such risks;
* Coordinate with local authorities for permitting, company registration and various requests (Ministry of Human Resources, Customs, Ministry of Energy and Industry, Ministry of Economy, JAFZA, DED, Masdar, etc.);
* Coordinate and supervise the work of the law firms. Recommend the most appropriate external counsels, select (in compliance with the legal group policies) and monitor their services and legal fees;
* Monitor, in coordination with external advisors, the litigations (if any) associated with the portfolio of projects.
* Advise on the structuration of projects for new country market entries, manage and coordinate the incorporation of new affiliates in the countries where projects are developed and follow up on the corporate housekeeping of the subsidiaries and JV incorporated in the Region (shareholders / board of directors resolutions, delegations and PoAs, share transfers, etc.);
* Contribute, in coordination with the group tax specialists and financial and operational managers of TotalEnergies Renewables / GRP branch, the choice of appropriate contractual and financial schemes for the above-mentioned activities.);
* Advise and contribute to compliance with internal policies relevant to above-mentioned operations (eg HSE, anti-corruption, sanctions, competition law, etc.);
* Contribute to the development of appropriate tools and processes for supporting the activity (templates, guidelines, enhancement of knowledge) and to the development of adequate document management systems;
* Contribute to the development of training and guidelines to operational teams.
Accountabilities include:
* Providing support to the Vice President Legal, to meet the needs of colleagues and to protect the company's legal and commercial interests
* Matters which are highly sensitive within the Company or where the matter is of interest beyond TotalEnergies
* Drafting, negotiating and advising in respect of contracts and agreements with high reputational and/or commercial risk/value, assisting others in the team with contracts and agreements with high reputational and/or commercial risk/value
* Highly complex matters where the law may not provide a black or white answer and where legal documentation is frequently complex
* Matters which may be politically sensitive e.g. seen as high risk or commercially very important to the whole company.
The job-holder shall carry out the work in support of One TotalEnergies, One
Country.
Context and environment
The Legal Department provides a legal and commercial advisory service to the
TotalEnergies companies in the UAE and other TotalEnergies Group companies
within the scope of One TotalEnergies, One Country.
Matters handled include: matters which are highly sensitive within the company
or where the matter is of interest beyond the TotalEnergies companies in the
UAE; highly complex matters where the law may not provide a black or white
answer and where legal documentation is frequently complex; matters which may
be politically sensitive e.g. seen as high risk or commercially very important
to the whole company.
Both legal and commercial negotiations are often conducted with multiple
parties which requires careful co-ordination and attention to multiple
documents. Life span of documents may span decades. As appropriate, the Legal
Department will call on and manage lawyers in private practice e.g. to pursue
litigation cases.

Candidate profile
Postgraduate / master's degree in business law.
Minimum ‎5 years of experience as transactional lawyer in Projects / M&A with
an experience of the jurisdictions of the Region / GCC in the energy sector.
Experience in EPC/O&M contracts negotiation is a plus.
Acquainted to Common Law.
Languages: English required, and Arabic would be desirable.
Assertiveness, responsiveness, flexibility (must be able to adapt quickly to
the context and to complex and varied situations), autonomy and sense of
initiative.
Negotiation skills with private investors (prospective partners, acquirers,
lenders), service providers (EPC, O&M contractors) and public.
