Duties and Responisbilities
* Litigation and Risk Assessment
* Craft efficient defence strategies in terms of dispute settlement and crisis management by research and assessment of different risk factors regarding business decisions and operations
* Participate in the review of legal memos and written pleadings and negotiate legal strategies with outside counsels
* Issue recapitulative reports to the management with the main information related to litigation. Ensure that the Legal Counsels issue on time the quarterly provisions report.
* Implement the reduction of cases strategy by possible amicable settlements and executions.
* Give accurate and timely advises to the Legal Manager and the Management in a variety of legal topics (Corporate governance, litigation, Intellectual Property and Licenses.)
* Representing the company in negotiations and handling the legal assessment of commercial deals.
* Manage and follow-up on assets issue such as but not limited to operational licenses and industrial registrations as well as civil defense approvals issues. Take all necessary actions with the support of the Senior Legal Counsel to safeguard our License to Operate and to ensure that a protective strategy is in place
* Craft and support the Legal Manager in the IP strategy to protect TMs against current and potential infringements.
* Compliance & COBC
* Acting as Competition Law Compliance Officer who conduct required legal assessments and opinions, put in place necessary policies and preventive action to secure ABC's position with the support of the Legal Counsel
* Ensure that proper competition assessments are conducted for commercial transactions and discount schemes.
* Support the Legal Manager in identify internal governance policies and regularly monitor compliance in terms of Heineken Procedures and code of Conduct
* Manage and coordinate between the legal function and other functions the compliance with the Company COBC and other Policies and Procedures by managing the conflict of interest, shine and the gifts registry.
* Ensure updating the Management with all new legislations that directly or indirectly affect the business and determining the way of implementation to the relevant parties.
* Represent the company before public authorities and conduct the necessary coordination with the CA Department.
* Legal Operation & Budget
* Drive the internal legal operation plan and its enhancement in light of the global team's guidelines
* Leading and supporting the Legal Manager in the strategic planning of the legal service providers (outside counsels & outside consultant), implementation of legal projects to enhance the function and support other departments. Drafting the contracts of the outside counsels and ensuring the respect of their KPIs and the litigation reduction and the litigation reports. Manage and coordinate with outside Counsels and other colleagues in other functions to ensure matters are dealt with in a timely manner.
* Supporting the Legal Manager with the annual budget allocation and the saving costs plan.Handling the legal fees and expenses of the Department and maintaining a payment record for the Department with the support of the executive assistant, along with the Power BI.
* In charge of the implementation of the outside counsel billing guidelines under the umbrella of the global team
* Driving the digitalization plan by digitalizing the tools of the legal department to sustain our business in the most efficient way by developing and guiding the reporting employees to put in place the proper systems and implement them (contracts management system, archiving, etc).
* Ensuring an efficient system for the contracts process within the Legal Department in order to support other functions and a proper governing policy for the process
* Monitor and deliver the Merger, Acquisitions & Liquidations related to the company with the support of outside counsels, leading action plans and legal procedures (OGMs, BoDs & EGMs) with the Lega Counsel.
