The Team
Clyde Services Limited is part of the Clyde & Co LLP Group and is an approved
Corporate Service Provider ( CSP ) registered in the Abu Dhabi Global
Market ( ADGM ).
The Role
This is an exciting role for a candidate based in Abu Dhabi (or willing to
relocate). You will work with the Company Secretaries and Government Liaison
Team (together, the Team ) to provide a premium level service to clients
of Clyde Services Limited. In addition, you will also assist with work from
Clyde & Co's Corporate Services team.
You will be the sole occupant of the office in the ADGM. Your working hours
will be ‎8.30am to ‎5.30pm every day, and you must work on site.
There is no working from home option with this role.
Key Responsibilities
This is a broad role, which will include, but not be limited to, the
following:
* Assisting on all aspects of establishing special purpose vehicles (SPVs) in the ADGM, which will include, amongst other things:
* Circulating Step Plans and Document Lists;
* Drafting incorporation documents and liaising with the client;
* Collating KYC documentation;
* Submitting documentation to the ADGM Registration Authority ( ADGM RA ) portal and responding to any queries raised by the ADGM RA;
* Arranging for circulation of post-incorporation documents; and
* Creating statutory registers on our company secretarial database (Blueprint).
* Arranging for annual licence renewal, data protection registration and filing of financial statements for clients of Clyde Services Limited.
* Assisting with registering changes of name, directors, general manager, activities, and share transfers with the ADGM RA.
* Maintaining statutory records, including Register of Members, Register of Directors, and Register of Ultimate Beneficial Ownership.
* Conducting regular reviews of the records maintained by us for our clients ensuring that all relevant details are added/updated on relevant databases.
* Annually reviewing records maintained by us and requesting, where required, updated due diligence documents.
* Submitting the necessary 'KYC' documents to the Firm's Business Acceptance Unit ( BAU ), updating BAU with any material changes of existing clients, liaising with BAU for file opening and arranging the closing of files.
* In addition to the above, where capacity allows, the candidate will also provide support to the wider Clyde & Co Group on a range of corporate administration tasks including the following:
* Assisting with establishing offshore companies in the Dubai International Financial Centre ( DIFC ), the BVI, Cayman Islands, Jebel Ali Free Zone ( JAFZA ) and Ras Al Khaimah International Corporate Centre ( RAK ICC );
* Assisting with registering change of name, directors, general manager, activities, and share transfers and registration of pledges, mortgages;
* Undertaking company searches and making online applications.
* Ensuring accurate time recording.
Essential Requirements & Experience
It is essential that you have:
* At least ‎1-‎2 years' solid and consistent administration experience preferably gained from within the legal or professional services' industry;
* The ability to work full time, in the office, ‎8.30am-‎5.30pm;
* The resilience, discipline, resourcefulness and self-motivation to work efficiently as the sole occupant of the office;
* A proactive approach;
* Strong teamwork and collaboration skills;
* Excellent written and spoken English;
* Knowledge of UAE systems and procedures;
* Significant document handling experience;
* Had exposure to working in different cultures;
* Strong organisational skills;
* Excellent attention to detail;
* A persistent approach to finding solutions;
* The ability to manage tight deadline and work under pressure; and
* Good IT skills.
