Job Purpose:
Enhance the effectiveness of the Legal Department by assisting Head of Legal
Corporate & Transaction Banking and Procurement in all stages of corporate
and transaction banking deals as well as draft and/or review of procurement
agreements
Principal Accountabilities:
Under the supervision of Head of Legal or legal advisors:
Legal risk
*
Review and provide legal advice on agreements entered into with service
providers
* Review and provide legal advice on matters related to corporates (NDA, Capacity & Authority, review and/or of board resolutions, review and/or draft of security documents under UAE Laws
* Review and provide legal advice for lending related to Wholesale Banking Group
* Issuing, reviewing and signing legal documents (Settlements agreements, legal notice, letters ... Etc.)
Contract negotiation
*
Review all contracts or any other documentation and assess legal implications
that need to be brought to the business and support functions attention.
* Prepare, review and modify contractual documents to assist and support various business activities.
* Negotiate, review and draft documentation for business transactions
Administrative duties
*
Assist in checking external counsels ' invoices
* Keeping up to date with changes and developments in the law by reading journals and law reports.
* Conduct legal researches and studies and implications of new laws and regulation on the bank's activities
* Any other responsibilities as advised by the Head of Legal
