Job Description
Key Responsibilities
- Engage with regional governmental authorities and agencies to execute compliance filings to keep entities ' registrations and licenses in good standing.
- Engage with regulatory and governmental agencies in connection with compliance and commercial filings.
- Advise on signing authority for legal entities, and draft powers of attorney and other delegation documents.
- Work with lawyers on the team to provide advice to a variety of GE Healthcare businesses regarding legal entity governance and related matters.
- Draft legal documents for lawyer review, relating to creation or elimination of legal entities and manage entity creation or elimination approval and execution processes.
- Support entity restructuring projects to facilitate BD activities, integrate acquisition entities and/or structure simplification efforts; project manage related international work in support of domestic restructurings.
- Draft transactional documents for lawyer review, including merger agreements, share transfer agreements, shareholder and board consents, board minutes, liquidation documents and other transactional documents supporting internal GEHC restructurings across diverse global business lines.
- Advise GEHC businesses' commercial teams on legal entities and prepare needed documentation in support of commercial bids, proposals and other deal activities.
- Support GEHC Treasury with legal entity documentation for KYC purposes.
- Work in a matrix environment, including supporting cross functional teams (Tax, HR, Finance, Commercial) to drive legal process improvements.
- Perform as project manager for cross functional and cross business projects and initiatives. This will require overseeing virtual teams and acting as liaison with technology and global process teams.
- Maintain and improve tools used by team, including those used to track powers of attorney, legal entities and legal entity documents.
- Drive, organize and manage operating project rhythms and manage project documentation.
- Responsibilities will expand and evolve if incremental services move to organization.
Qualifications/Requirements:
Work experience at a law firm or in-house legal department, including:
* Experience working with document and data management systems.
* Experience working with global teams on complex initiatives, driving issue resolution and recommending solutions.
* Experience working with virtual teams.
* Degree from a post secondary educational institution.
* Must be fluent in Arab and English. Ability to speak an additional language is considered an advantage

- Excellent communication skills (both written and verbal), including ability to communicate professionally and timely.
- Strong ability to understand legal transactional requirements and business requirements to be able to overlay varying implications in effort to determine optimum solutions.
- Technologically savvy, including strong Word, Excel, PowerPoint, and Adobe skills.
- Business-minded and customer-service focused.
- Demonstrated ability to balance multiple projects and a high volume of work, including the ability to adapt to changing priorities.
- Experience interacting with governmental authorities.
- Experience creating and implementing operational processes, including system consolidations and improvements.
