Job Purpose


To assist the Group Company Secretarial Team with all corporate secretarial,
governance and compliance activities.


Job Description


Company Secretarial


Drafting and amending memorandum of associations/articles of associations,
constitutive agreements, MOUs, Shareholders Agreement etc.


Implementing corporate restructuring such as consolidations, company
migrations, share transfer etc.


To effectuate change in directors/ manager as per the Management directions.


To incorporate companies, branches, and offices in GCC countries including
free zones and support business expansion activities of the Group.


To handle the liquidation activity of redundant business entities in GCC,
Southeast Asia, BVI and other regions.


Preparing Board/ Shareholders resolutions for authorizing banking operations,
delegation of authorities, KYC queries & documentation support.


Preparing power of attorneys, letters, and other correspondence for group
companies. Support process of notarization and legalization wherever required.


Liaison with Free zones authorities for any documentation and advisory
support.


Maintaining statutory registers and records such as register of directors/
shareholders, etc.


Corporate Governance:
To draft agendas, notices, Minutes of Board, Committees and Shareholders
meetings of Group companies and follow up on action points and deliverables
with all stakeholders.


Compliance with Corporate Governance Code in GCC.


Documentation support for internal compliance team.


To carry out due diligence of potential business partners and stakeholders.


Other Support


Review of financial statements, letter of representation and other supporting
documents and attend auditors’ queries on the annual report related matters.


Keeping up to date with any regulatory or statutory changes and policies that
might affect the organization.


To compile MIS and other necessary reports for the department.

Job Experience


Minimum Education


Qualified Company Secretary from the Institute of Company Secretaries of India


Law degree (preferred)


Minimum Experience


‎4 – ‎6 years in Company Secretarial/ Corporate Governance related matters,
ideally in large corporation, with at least ‎2-‎3 years of UAE experience.
